DEALIGHT TERMS OF SERVICE:


Welcome to Dealight! These Terms of Service (“Terms”) govern your access to and use of the Dealight platform and related services (“Platform” or “Service”), operated by Dealight, Inc. (“Dealight”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Service.

1. OVERVIEW OF THE SERVICE

Dealight is a subscription-based AI-powered sales platform. Customers use Dealight to submit their company information, receive lead recommendations based on AI analysis, and automate outreach through multiple channels such as email and LinkedIn. Dealight acts as a software tool (SaaS) to accelerate outbound customer acquisition.

2. YOUR ACCOUNT; ELIGIBILITY RESTRICTIONS; SECURITY

Account Information: To access the Platform and receive output data such as lead recommendations, you must create a Dealight account. You agree to provide accurate and complete information during registration and keep your contact information up to date so we can send important notices.

Eligibility Restrictions: You may allow only your employees or authorized contractors, or those of your majority-owned subsidiaries, to use the Service (“Authorized Users”). You must ensure that:

* Authorized Users comply with these Terms;
* You take responsibility for all actions by your Authorized Users, and their use of the Platform shall be considered your use.

Account Security: You acknowledge and agree that:

* You are solely responsible for maintaining the confidentiality of your account credentials;
* You may not share your credentials, and must control access to your devices;
* All access must occur through secure, encrypted connections;
* Your devices must have up-to-date operating systems and anti-malware software;
* You must revoke access for any terminated Authorized User within 24 hours;
* You must notify Dealight within 72 hours of any security incidents or account compromise;

3. SUBSCRIPTION AND PAYMENT

The Platform is offered on a monthly subscription basis. You agree to pay the subscription fees as specified at the time of purchase. All fees are billed in advance and are non-refundable except where required by law. We may offer promotional pricing or free trials at our discretion.

Your subscription will automatically renew at the end of each billing period unless you cancel before the next renewal date. You may cancel at any time via your account settings, and access will continue until the end of the current billing cycle.

4. USE OF COMPANY DATA

You may submit business-related information, such as your company profile, ideal customer criteria, and other configuration data (“Customer Data”). You retain ownership of your Customer Data. Dealight will use this data only to provide and improve the Service. We will not share, sell, or disclose your data to third parties without your explicit consent.

Dealight may use anonymized and aggregated data to enhance AI models and product features. This aggregated data will not contain personally identifiable or company-specific information.

5. ACCEPTABLE USE

You agree not to:

* Use the Platform to transmit spam or unsolicited messages;
* Violate any laws, including CAN-SPAM, GDPR, or other data protection regulations;
* Impersonate another person or misrepresent your affiliation;
* Reverse-engineer, copy, or replicate the Service or its outputs;
* Interfere with or disrupt the operation of the Platform.

6. INTELLECTUAL PROPERTY

All rights, title, and interest in the Service, including the software, algorithms, and content, belong to Dealight. You retain ownership of your company data and outreach results generated from the Service. You grant Dealight a non-exclusive license to use your submitted data solely to deliver the services to you.

7. TERMINATION

You may cancel your subscription at any time. Your access will remain active until the end of your billing cycle. We reserve the right to suspend or terminate your account if we believe you have violated these Terms or misused the Platform.

8. DISCLAIMER OF WARRANTIES

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied. Dealight disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will be error-free, secure, or that it will achieve specific business outcomes for you.

9. LIMITATION OF LIABILITY

To the extent permitted by law, Dealight is not liable for any indirect, incidental, consequential, or special damages, including lost profits, lost data, or business interruption arising out of your use of the Service. In no event shall our liability exceed the amount paid by you to Dealight in the six (6) months prior to the event giving rise to the claim.

10. CHANGES TO THESE TERMS

We may update these Terms from time to time. If changes are material, we will notify you by email or via the Platform. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
